Meeting the new federal regulatory demands imposed by the Sarbanes-Oxley Act has challenged companies. In particular, it has caused significant shifts in both the priorities and activities of publicly held companies. Companies must now identify significant financial accounts, the business processes surrounding the function of such accounts, and the applications and information technology (IT) infrastructure that support these business processes. Companies must document these accounts. Their auditors must attest to the controls and processes surrounding such accounts and must generate an annual “attestation report” (also called a “404 attestation,” after Section 404 of SOX) which confirms management’s effective financial control environment.

Although SOX does not mandate any particular technology or software-based controls, having the right software in place can ease the load imposed by these new regulatory demands. Section 404.
Section 404 can be one of the most difficult areas in which to show compliance. Auditors must certify the underlying processes and controls used for financial reporting and identify the framework used for their assessment. Section 404 requires that processes used to generate financial statements be accurate and meet accepted industry standards. It also requires that any changes to these processes be reported each quarter.
  • Complete logging of management interaction with audit trails for accountability to the responsible individual(s) and Regulatory Agencies if required.

Section 409.
This section calls for real-time reporting of events that could materially affect a company’s financial performance. Although the SEC has not yet defined real-time nor has it set a date for implementation, many companies are interpreting real-time reporting to mean “within 48 hours”. Regardless of how or when it is defined, companies face significant integration and implementation hurdles to satisfy and comply with Section 409.
